These Terms of Service ("Terms") govern your access to and use of the LabPilot mobile application and related services operated by AlisonNet Inc ("we", "our", "us"). By using the Service, you agree to these Terms.
1. Acceptance of Terms
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of Service
LabPilot is a laboratory order management and phlebotomy scheduling platform that supports:
- Order creation, assignment, and tracking
- Patient scheduling and appointment management
- Specimen collection workflows and chain-of-custody records
- Team coordination, routing, and real-time dispatch
- Reporting and audit-trail generation for compliance
3. Accounts and Eligibility
3.1 Eligibility
The Service is intended for healthcare professionals and authorized personnel. You must be at least 18 years old to use the Service.
3.2 Account Registration
- You must provide accurate, current, and complete information
- You are responsible for maintaining the confidentiality of your credentials
- You are responsible for all activities that occur under your account
- Notify us immediately of any unauthorized access at support@labpilotapp.com
3.3 Account Suspension or Termination
We may suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activity, or present a security risk to the Service or its users.
4. Acceptable Use
You agree that you will not:
- Use the Service for any unlawful purpose or in violation of applicable laws, including healthcare regulations
- Access or attempt to access data belonging to organizations other than your own
- Reverse-engineer, decompile, or attempt to extract source code from the Service
- Interfere with, disrupt, or overload the Service or its infrastructure
- Transmit malware, viruses, or other harmful code
- Upload content that is defamatory, harassing, or infringes on any third-party rights
5. Protected Health Information
5.1 HIPAA Compliance
LabPilot is designed to support compliance with the Health Insurance Portability and Accountability Act. When you process Protected Health Information through the Service, you agree to:
- Access PHI only for authorized, job-related purposes
- Maintain the confidentiality and integrity of all PHI
- Report any suspected security incidents or breaches immediately
- Comply with all applicable HIPAA Privacy, Security, and Breach Notification Rules
5.2 Business Associate Agreement
If your organization processes PHI through the Service, a Business Associate Agreement between your organization and AlisonNet Inc is required. Contact support@labpilotapp.com to request a BAA.
6. Customer Data and Ownership
6.1 Your Data
You retain all rights to data you submit to the Service. You grant AlisonNet Inc a limited license to process Customer Data solely to provide, maintain, and improve the Service.
6.2 Data Portability
You may export your Customer Data at any time through in-app tools or by contacting support. Upon termination, we will provide a reasonable window for data export before deletion.
7. Intellectual Property
The Service, including all software, designs, trademarks, and content other than Customer Data, is owned by AlisonNet Inc and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.
8. Service Availability and Support
We aim to provide the Service on a continuous basis, but we do not guarantee uninterrupted availability. Scheduled maintenance, updates, and third-party outages may cause temporary disruptions. Support is available at support@labpilotapp.com.
9. Disclaimers
9.1 "As Is" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9.2 Not Medical Advice
LabPilot is a workflow and logistics tool. It does not provide medical advice, diagnosis, or treatment. All clinical decisions remain the sole responsibility of licensed healthcare professionals.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALISONNET INC AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOUR ORGANIZATION TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify and hold harmless AlisonNet Inc and its officers, directors, employees, and agents from any claims, damages, losses, or expenses, including reasonable attorneys' fees, arising from your use of the Service or violation of these Terms.
12. Changes to the Service and Terms
We may modify the Service or these Terms at any time. We will provide reasonable notice of material changes through the app or via email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Delaware.
